Chapter 1 – Sales
All sales are concluded in accordance with INCOTERMS published by the International Chamber of Commerce and in force at the date of order. The specific INCOTERM applying to the sale is specified in the Sales Contract.
Chapter 2 - Payment
The payment terms are specified in the Sales Contract. Delays in payment by the Customer will result in the automatic application of interest charges at the rate of 2% of the amount due per 7 day period commencing on the eighth day after the due date for payment
Chapter 3 - Force majeure
In this clause “Force Majeure” means in relation to either party any Act of God, war, strike, lock-out, industrial action, fire, flood, drought, tempest, or any other event beyond the reasonable control of any of the parties.
If either party is affected by Force Majeure it shall promptly notify the other party of the nature and extent of the circumstances in question.
Notwithstanding any other provision of the Agreement neither party shall be deemed to be in breach of this Agreement or otherwise be liable to the other for any delay in the performance or non-performance of any of its obligations under this Agreement to the extent that the delay or non-performance is due to any Force Majeure of which it has notified the other party and the time for performance of that obligation shall be extended accordingly.
Chapter 4 - Delivered Quantity
The quantity delivered are subject to a 5% tolerance above or below the quantity ordered.
Chapter 5 – Delivery
All goods must be inspected by the Customer when received. Any complaints or defects must be reported in writing to ELEC-IMPORT.COM within seven days of receipt of goods.
Chapter 6 - Compliance
All goods delivered which conform to the sample approved by the Customer cannot be subject to dispute. It is the sole responsibility of the Customer to ensure that they own or have copyright and all other intellectual property rights in any logo, device and other trade mark which ELEC-IMPORT.COM is requested to apply to goods and materials to be supplied.
In the event that an item ordered by the Customer becomes the subject of actual or threatened legal proceedings in any jurisdiction then it is the sole responsibility of the Customer to defend such proceedings at their own cost and without recourse to ELEC-IMPORT.COM.
Chapter 7 - Time limits
Any stated delivery date is subject to a tolerence of fifteen days beyond that stated in the Sales Contract.
Chapter 8 – Order cancellation
In the event of an order cancellation caused by the Customer, the Customer will be required to pay the following:
Within 24 hours of placing the order - 10% of the total amount due under the Sales Contract including all taxes.
Within 15 days of placing the order – 30% of the total amount due under the Sale Contract including all taxes.
More than 15 days after placing the order – 100% of the total amount due under the Sales Contract including all taxes.
Chapter 9 –Retention of title
Notwithstanding delivery, the property in all goods supplied by ELEC-IMPORT.COM shall remain with it and shall not pass to the Customer until ELEC-IMPORT.COM has received payment in full (including any interest) in respect of the goods. The goods shall remain ELEC-IMPORT.COM’s property despite attachment to, or incorporation in or with other goods.
Chapter 10 – Jurisdiction
This Agreement shall be governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England.
Chapter 11 - Late delivery due to a forwarder
It is an Industry practice that no Shipping Company ( sea, route or air) give any guarantee on the delivery date but simply and an estimate.
Consequently, ELEC-IMPORT.COM shall be held responsible, in any case, for a delay in delivery due to an unexpected increase of the transit time that is entirely independant of its will or influence.
TERMS OF USE
All personal data held by the ELEC-IMPORT.COM will be kept confidential but the ELEC-IMPORT.COM may, where such disclosure is necessary to satisfy the purpose, or a directly related purpose, for which the data was collected provide such information to the following parties:
- any subsidiaries, holding companies, associated companies or affiliates of or companies controlled by or under common control with the ELEC-IMPORT.COM;
- any other person who is under a duty of confidentiality to the ELEC-IMPORT.COM who has undertaken to keep such information confidential; and
- any financial institutions, charge or credit card issuing companies, credit information or reference bureaux, or collection agencies necessary to establish and support the payment of any services being requested.
Personal data may also be disclosed to any person or persons that have a right under the Ordinance to gain access to such information provided they are able to prove their authority to access such information. For example, if the ELEC-IMPORT.COM were served with a court order demanding certain customer information then the ELEC-IMPORT.COM would disclose the information to the duly appointed officer of the court.
In addition,it is not our policy to exercise any editorial control over or to edit or amend your information or content before it is transmitted or made available through ELEC-IMPORT.COM . However, you hereby authorize us to amend or delete any information or content which is uploaded or otherwise provided by you.
Access to and Correction of Personal Data

1. Specifying the data which you believe to be incorrect, the reason you believe it is incorrect, and the applicable corrections; and
2. Providing "proof of identity" verifying that the individual making the request is authorized to request such corrections.
3. ELEC-IMPORT.COM will, upon satisfying itself of the authenticity and validity of the correction request, make every endeavour to comply with and respond to the request within the period set by French law.
